“That decision is probably the biggest decision you will ever make in your business. You could come out making out like a bandit or you can come out really hurt. And that is going to depend on who buys you.”

About This Episode

Claudio Vilas joins Tim Brown on the Hook Better Leads podcast to discuss the real state of private equity in roofing as of 2026. The conversation covers why PE buyers have raised their standards, what roofing owners need to do before they even think about selling, and why the multiple is not the most important number in the deal.

Key Takeaways

1
The EBITDA floor has moved up
A million dollars of EBITDA used to be enough to attract serious PE interest. Most buyers are now looking for $1.5M to $2M minimum. If you are below that threshold, you are not in their buy box.
2
PE buyers are not just looking at revenue
They want sustainable growth, variable cost structures, documented processes, and a business that does not depend entirely on the owner. If you cannot answer basic questions about your earnings drivers, you are not ready.
3
The multiple is not the most important number
The terms and conditions determine whether you actually make money. Rollover structure, earnouts, working capital adjustments, and the fine print can all reduce your real payout well below the headline number. You need a qualified M&A attorney on your side before you sign anything.
4
Who buys you matters more than what they pay
The second bite at the apple is where many sellers make or lose real money. That payout depends entirely on how well the buyer operates the business after closing. Ask them about prior acquisitions. Talk to owners who sold to them before. Check their balance sheet. Know if they are overleveraged.
!
Do not sell without professional representation
This is the biggest financial decision of your business life. PE buyers have experienced teams reviewing your financials and finding every reason to pay you less. You need a broker who will bring you multiple offers, an M&A attorney who knows the fine print, and a CPA who has cleaned up your books before you go to market.

Episode Summary

2025 was a difficult year for roofing. Storm activity slowed in key markets. Revenue dropped across the board. And private equity, which spent the prior few years on an aggressive buying spree, hit the brakes. Buyers that once moved fast are now reviewing hundreds of companies and closing on very few.

Claudio explains that this is not the end of PE interest in roofing. It is the maturation of the market. Early buyers made mistakes. They paid too much, used too much leverage, and acquired companies that were too owner-dependent to scale. Now they are smarter, more selective, and looking for businesses built to last without the founder at the center of everything.

The 10-year outlook for roofing M&A remains strong. The industry is deeply fragmented, roofs cannot be DIY’d, the housing stock is aging, and you cannot offshore the labor. PE will continue to enter roofing. But the companies that attract premium offers will be the ones that look like sustainable assets, not lifestyle businesses.

The conversation ends on a point that applies whether you sell next year or in ten years: build reserves, understand your earnings, remove yourself from daily operations, and choose your buyer with the same care you would choose a business partner. Because that is exactly what they become.
